Server Simplicity - Terms and Conditions
Server Use

Payment
- All accounts are set up on a prepay basis. Although Wyre Forest Computer Solutions (WFCS) reserve the right to change prices of accounts at any time, all pricing is guaranteed for the length of your contract. Payment is due on the same date each calendar month or every 365 days, following the date the account was established. Customers contracts will automatically be renewed on the same terms as previous years unless we are notified otherwise, we will attempt to contact you regarding this renewal prior to billing.
- In situations where your payment is declined WFCS will suspend use of an existing service after 5 working days if no alternative payment method is provided, in cases of new setup payment rejections the service will be delayed until payment is processed. WFCS reserves the right to suspend other services purchased by the customer until the payment is cleared.
- Invoices will be sent by post. All payments must be made in UK Sterling.
Minimum Contract
- Dedicated Server accounts can be paid either monthly or annually in advance. An incentive is offered for accounts paid annually (12 months at the price of 10).
- The minimum contract length for dedicated servers is 3 months.
- In situations where the service has been pre-paid for 12 months the ‘free’ months provided are the final 2 months in the contract. Therefore any rebate will be calculated on the amount paid for the year minus what would be the monthly charge for the service (not a percentage of the annual charge).
Cancellation
- In the event that you wish to cancel your account no refund of the setup fee or the initial prepaid fee will be made.
- Requests to cancel your dedicated server account will be processed within 24 hours and no further payments will be due from the time we receive your notification, no refund will be made of the time unused unless on an annual contract (see above).
Service Level Agreement
- WFCS provide a Service Level Agreement for all server customers, details can be found here.
- In the event that, for any reason, WFCS is not able to meet the terms of the service level guarantee our liability shall be limited to the total amount of fees prepaid by the customer, excluding any setup fees paid.
Indemnification
- Customer agrees that it shall defend, indemnify, save and hold WFCS harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against WFCS, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents or employees.
- Customers agree to defend, indemnify and hold harmless WFCS against liabilities arising out of; (a) any injury to person or property caused by any products sold or otherwise distributed in connection with WFCS' servers; (b) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (c) copyright infringement and (d) any defective products sold to customer from one of WFCS’ servers.
Disclaimer
- WFCS will not be responsible for any damages your business may suffer. This includes loss of data resulting from delays, nondeliveries, wrong delivery, and any and all service interruptions caused by WFCS and its employees. WFCS reserves the right to revise its policies at any time.
